Organization Purchase Terms

The terms for buying a block of coverage.

These terms sit alongside the general Terms of Service and Privacy Policy. They cover what a block is, the two clocks that run on it, what we report, what is refundable, and what each side is responsible for.

TL;DR

The buyer’s version.

  • These terms apply when an organization buys a block of Career Transition Coverage.
  • A block is a prepaid quantity of coverage: a number of people, a window per person, and a number of practice interviews each.
  • Two clocks run. A code stays redeemable until the block's expiry date; a person's coverage window starts the day they redeem it.
  • You are buying per person covered, not per person who activates. Nothing is refunded for codes nobody redeems.
  • You send us no employee data. We issue codes; you hand them out.
  • Reporting is aggregate. We never report anyone's activity or outcome to you.
  • A block can be voided for a full refund within 7 days of purchase if no code has been redeemed. Otherwise purchases are final.

Section 1

Agreement and order of terms.

These Organization Purchase Terms apply to any organization that buys Career Transition Coverage from Functioning Labs LLC, the company that operates Hey Vitae. “You” means both the buying organization and the individual accepting these terms on its behalf, who represents that they are authorized to do so.

The general Terms of Service and Privacy Policy are incorporated here. These terms control if there is a conflict about a block, its codes, its reporting, or a purchase made by an organization. Each person you cover uses Hey Vitae under the general Terms of Service in their own right; you are not a party to their account.

Section 2

What a block is.

A block is a prepaid quantity of Hey Vitae coverage bought for a group. It is defined by three numbers agreed at purchase: how many people it covers, how long each person’s coverage window runs, and how many practice interviews each person receives.

We mint one single-use code per person covered. Redeeming a code puts that person on the Sponsored plan for the length of the window and allocates their practice interviews from the pack the block bought. A code can be redeemed once, by one person, on one account.

A block is not a subscription, a seat pool, or a license you administer. The contacts you name on it can sign in to read its numbers and download its codes, as described in section 7, but nobody at your organization administers a seat, and no seat can be reassigned from one person to another once a code has been redeemed.

Section 3

The two clocks.

Two separate periods run on every block, and they answer different questions.

Code expiry is how long a code stays redeemable. You choose the date at purchase. A code that has not been redeemed by that date can no longer be redeemed, and nothing is refunded for it.

The coverage window is how long one person’s access lasts, and it starts on the day that person redeems — not on the day you bought the block. Somebody who redeems in November receives the same number of months as somebody who redeemed in March. When a person’s window ends, the extra capacity stops; their account, their documents and their history remain theirs.

Practice interviews allocated to a person expire when that person’s coverage window does. Practice interviews are not transferable between people and have no cash value.

Section 4

The shape of what you are buying.

These rules are the same on every block:

  • Coverage is priced and sold per person covered, not per person who redeems or signs in.
  • Each person's coverage window starts on the day they redeem their code, not on the day you buy.
  • Windows run from 4 to 12 months. 4 months is the shortest window we sell.
  • A block is prepaid and invoiced once. There is nothing to renew and nothing to cancel.
  • Nothing is refunded for codes nobody redeems.
  • Connecting a coaching practice to a block does not change the rate, and the coaching workspace carries no separate charge.

Any change to these — a different minimum, a window that starts at purchase, a reallocation of unredeemed coverage — is a custom agreement in writing, not something the standard block does.

Section 5

Codes, and how you hand them out.

You receive the codes and distribute them yourself, through whatever channel you choose. Codes are the whole of the value you bought: treat them the way you would treat gift cards. Anyone holding a valid code can redeem it, so publishing one where it can be scraped hands your coverage to strangers, and we cannot recover coverage that was redeemed by somebody you did not intend.

You are responsible for telling the people you cover what you have bought them, for any notice or consent your own policies require before doing so, and for the lawfulness of the channel you distribute through. Redemption is always voluntary: nobody can be enrolled by you, and a person who never redeems is left with no Hey Vitae account at all.

Section 6

You send us no individual data.

Buying a block does not involve giving us a roster, a list of names, an eligibility feed, or an HRIS connection, and we do not accept one as part of a standard block. We issue codes; you distribute them.

Each person redeems on an email address of their own choosing. The account that results belongs to that person, is governed by their own agreement with us, and outlives your coverage window. You cannot access it, administer it, suspend it, or delete it, and neither ending nor exhausting a block does any of those things.

If a program later wants us to send invitations on your behalf, that is a different arrangement with its own written terms. It is not part of this one.

Section 7

What we report to you.

You receive aggregate program numbers: codes issued, codes redeemed, the redemption rate, how many people are covered at the moment, how many practice interviews were handed out and how many were used, and per-code redemption status. Those are available to the buyer contacts on the block through a sign-in on our coverage pages, and as CSV downloads.

Outcome figures are withheld until enough people have redeemed for the number not to identify anyone, and the report says so when they are withheld. Outcomes are self-reported by the people themselves, so they under-count and should not be compared against your headcount.

We never report an individual’s activity or outcome to you.

That means we do not tell you what anybody applied to, what they wrote, how a practice interview went, whether they are looking, or how their search is going. Because codes are issued one per person, you hold the mapping from a code to a person and can therefore see whether the code you gave somebody has been redeemed. That is the only per-person fact the reporting exposes, and it exists because you created the mapping, not because we shared one. Details are on the security page.

Section 8

Payment, refunds, and voiding a block.

A block is prepaid. Card purchases are charged at checkout; invoiced purchases are due on the terms stated on the invoice. Prices are in US dollars and exclude any taxes that apply, which are added where required. Failure to pay an invoice by its due date may pause provisioning of an unfulfilled block.

A block may be voided for a full refund within 7 days of purchase, provided no code from it has been redeemed. Voiding cancels every code in the block. Ask us at hello@heyvitae.com.

Outside that window, purchases are final. In particular, nothing is refunded for codes that are never redeemed, for codes that expire unredeemed, for coverage a person does not use, for practice interviews left unused at the end of a window, or for a person who finds a job early. Buying per person covered is what makes the price what it is, and the code expiry date is yours to choose so that unredeemed coverage stays available for as long as you need it to. The job-seeker satisfaction guarantee does not apply to a block. None of this removes a refund or right that law makes non-waivable.

Section 9

What we will do.

We will provision the block you paid for, mint its codes, and make them available to you. We will honor each person’s full coverage window from their own redemption date, for the window length you bought, whether they redeem on the first day or the last. We will keep the aggregate reporting current and downloadable for the life of the block.

We will keep the confidentiality described in section 7 and in the Privacy Policy, including after the block ends. If we materially reduce what the Sponsored plan includes during a window you have already paid for, we will provide substantially equivalent capacity for the remainder of that window.

Section 10

What we do not promise.

Hey Vitae is software. It is not a coaching practice, an employment agency, an outplacement firm, or a credentialing body, and buying a block does not make us any of those for you or for the people you cover. We do not promise:

  • Employment, interviews, offers, placements, salary outcomes, or any particular result for any person you cover.
  • That every person you cover will redeem their code, sign in, or use the product.
  • Accuracy of AI output, which a person should review before relying on it.
  • Uninterrupted or error-free service.

Where a coaching practice works with the people a block covers, that practice is independent of us. We do not verify, supervise, employ or endorse it, and we are not responsible for its advice, conduct or fees.

Section 11

Misuse, suspension, and termination.

You may not resell codes, offer them for sale, use them as consideration in another transaction, or distribute them outside the group the block was bought for. We may void codes that are being distributed publicly, traded, or redeemed at a scale or pattern that indicates they have leaked, and we will tell you when we do.

We may suspend or end a block for non-payment, for misuse of codes, for a serious or repeated breach of these terms, or where the law or a genuine security risk requires it. Where practical we will give notice and a chance to put it right. Coverage already redeemed by an individual is not withdrawn for something their funder did; their window runs out on its own schedule.

Section 12

Liability.

Hey Vitae is provided “as is” and “as available.” To the fullest extent law permits, we disclaim implied warranties and do not guarantee uninterrupted or error-free service, accurate AI output, or any employment or program outcome.

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, data, or opportunities. Our total liability for a claim related to a block is limited to the amount you paid us for that block.

To the extent law permits, you are responsible for claims arising from how you distributed codes, from notices or permissions you were required to obtain and did not, from your breach of these terms, or from your own program materials and communications.

Massachusetts law governs these terms without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Massachusetts.

Section 13

Changes and contact.

We may update these terms as the product, pricing model or law changes. The terms in effect on the day you bought a block govern that block for its life; a change applies to blocks bought afterward. We will update the effective date above and give additional notice for material changes where appropriate.
